Spearing Waite’s Corporate team has acted for SD Green Energy of Japan in its acquisition of the wind turbine business of UK-based Kingspan Environmental Limited.
SD Green Energy already has a major presence in Japan and Asia for renewable energy, and this acquisition will ensure the business is perfectly placed to develop its wind turbine offering both in these markets and further afield.
With the acquisition, SD Green Energy has established a new division called SD Wind Energy Limited and has expanded its team immediately with the addition of the staff and manufacturing capabilities of the Kingspan site in Stewarton, Scotland. The new division will be supported by SD’s existing sales team in Asia.
Kingspan is one of the UK’s leading manufacturer of environmental solutions specialising in renewable energy, water management and environmental management. The acquisition involves SD Wind Energy taking on all of Kingspan’s existing wind turbine customers, providing uninterrupted warranty and field support to the installed fleet of more than 5,000 turbines across the world.
Spearing Waite acted as the buyer’s UK legal advisers alongside Regan Wall, its Irish solicitors.
Steve McElhone, Corporate Partner at Spearing Waite, said:
“We were delighted to work alongside SD Wind Energy’s Irish lawyers, Regan Wall, and Scottish property lawyers Burness Paull to bring the transaction to a successful conclusion.
This is a great example of how the Spearing Waite Corporate team is able to partner with lawyers in other jurisdictions to provide timely and tailored transactional support.
“Although the renewables sector is well established, there remains huge potential for growth and this transaction should give the business the opportunity to expand into new markets both in Japan and across the Far East.”
Eversheds Sutherland acted for the seller, Kingspan Environmental Limited.
